BOARD OF DIRECTORS MEETING MINUTES

April 28, 2023, Lodge Main Room

CALL TO ORDER: Chair Knowlton called the meeting to order at 1:04 p.m.

PROOF OF NOTICE: Agenda was posted in editions of the Friday Fix and Flash, and posted on the Bulletin Board at the Courts.

Present: Asbel, Hunter, Knowlton, Kohlberg, Lorenzen, Powers

Absent: None

Also Present: 26 other members

PRESIDENT'S REMARKS:

  1. President Knowlton noted the receipt of a letter of resignation from former Director Mike Rocheleau. Thank you for your service, Mike. Lorenzen moved to accept his resignation. Kohlberg seconded.

MOTION CARRIED BY UNANIMOUS CONSENT

  1. President Knowlton noted the receipt of a letter of interest to fill the Director vacancy from Diane Beaudoin. Her letter was well received and appreciated. Welcome aboard, Diane.

Kohlberg moved to accept her proposal. Asbel seconded.

MOTION CARRIED BY ACCLIMATION

MINUTES:

Motion to accept minutes as presented was made and duly seconded to accept the minutes from the last board meeting held April 11, 2023.

MOTION CARRIED BY UNANIMOUS CONSENT

TREASURER'S REPORT:

Powers reported balance of $15,631.53. She will be submitting form to request tax exempt status 501(c)(7). Powers discussed INCORPORATION EXPENDITURES: the total costs to incorporate the Club. Powers responded $600 to the IRS for the filing of Form 1024 – Application to become a not-for-profit organization, plus approx. $70 to the State of Florida for annual filing fees. Motion to accept Treasurer's report made by Lorenzen, seconded by Asbel.

STANDING COMMITTEE UPDATES:

  1. Administration – no update

  2. Equipment and Facilities: Discussions were had regarding Facilities and Equipment matters including fence covers, balls. Leaf blowers, ball machines. Ken Krueger made a presentation of the current status of the Simon-X machine and research into the ERNE ball machine (see ernepickleball.com for info). We are looking for TPCA to effect purchase of new ERNE machine as well as replacement by the manufacturer of the Simon-X machine under warranty. Motion by Powers to authorize Asbel and Krueger to solicit TPCA to purchase ERNE machine and balls. Seconded by Hunter.

  1. Training and Development: training sessions suspended for the summer. Skinny Singles will be running on Thursday evenings from 5-7p.m.

  2. Events: Diane will be liaison

  3. Communications: Regularly scheduled updates are done as follows: weekly scheduling in TPCA Timber Times; weekly Club news in the Friday Fix; monthly articles in the TPCA Newsletter; other matters as needed.

  4. Finance: Discussion regarding the need to purchase 2,500 new pickleballs during the annual sales event at the US Open.

Lorenzen moved to purchase balls at a cost not to exceed $4,000. Hunter seconded.

MOTION CARRIED BY UNANIMOUS CONSENT

Pat Thayer reported on the Donations Requests effort. Requests will be reviewed by the Donations Committee and recommendations made at the next BOD meeting. Results will be announced at the subsequent BOD meeting, likely in October.

  1. Membership: Marty Bachtler has agreed to join the committee.

UNFINISHED BUSINESS:

  1. Software Ad Hoc Committee – presently only Bruce Eisenhard has joined the committee. Volunteer members are needed.

  2. Absentee Balloting Ad Hoc Committee – members so far are Hunter, Powers, and Lorenzen. There has been a preliminary meeting to discuss challenges.

NEW BUSINESS:

  1. SCHEDULING: Knowlton is training Lorenzen and Krueger on scheduling protocols. Discussion had regarding the summer time schedule and Beginner events.

  2. RULES & REGS: Hunter discussed preliminary Rs & Rs issues – principally Pickleball dress code, including what constitutes proper footwear. No motion made.
